FANTASY ACTION SPORTS LEAGUE

INTRODUCTION

Welcome to The Fantasy Action Sports League, where you can sign up to any one of our Action Sports Fantasy Games (“Contests”). The rules for Fantasy Action Sports League are explained fully in these Official Rules.

SIGNING UP

You may sign up to play any Contest at the start of any Action Sports Season. Signup cost depends on the Contest you choose. (See “Registration” Page for details).

You may also sign up for the “Free” Game at no cost. (prizes available in connection with the foregoing Contests are outlined in “Prizes” section below.

 

For purposes of the Official Rules, all dollar amounts are in US Dollars.

 

ELIGIBILITY

*Fantasy Action Sports is open to: (a) Registered Users; (b) at least thirteen (13) years of age at the date of registration in the Contest.

***PLEASE NOTE: Eligible legal residents of Arizona, Iowa, Louisiana, Maryland, Montana, and Vermont may play Fantasy Action Sports Surf League, but are not eligible to win any prizes.

For purposes of these Official Rules, “Registered User” means a person who has successfully completed the registration form and has obtained a User Identification (“ID”) and associated password (“Password”) on fantasyactionsportsleague.com.

If you are not a Registered User you may become a Registered User and obtain an ID and a Password by completing the registration form. There is no fee or charge to you to become a Registered User.

*All Fantasy Action Sports League games are subject to the complete applicable Official Rules. Void where prohibited by law.

Employees of Fantasy Action Sports League (collectively the “Contest Entities”) and each of their parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies and members of the immediate family or household of each are not eligible to win. Immediate family member is defined as a parent, sibling or any person residing in the same household as an employee of the Contest Entities. Void where prohibited. Such excluded employees and/or family members may play, but WILL NOT be eligible to receive a Prize (as defined below).

 

REFUND POLICY

 

After you sign up for the Contest, you may receive a full refund of the purchase price up to 48 hours prior to your Game’s start date. All other refund requests will be subject to the sole discretion of FASL.

 

PICKING YOUR TEAM

 

You will be allotted a “Salary Cap” for each Team you register. It is not necessary to use all of the Salary Cap as a requirement to play. The Salary Cap is the maximum number you may spend on athletes when picking a team.

 

PRICING

 

Each athlete has a predetermined price. As a season goes on, each athlete’s price will change with regards to the success or failure of that athlete. The original price that you purchase a particular athlete at will remain the amount against your salary cap until such time that you release said athlete.

 

TEAMS

 

You are allowed as many as 10 athletes per Team. 10 athletes is not the necessary requirement to play, but the maximum number of athletes you may have. You may use fewer athletes than 10 without penalty.

Please note that, throughout the season, your overall roster is not restricted to a specific number of athletes.

 

SCORING

 

Athletes

 

An athlete on your team scores points for your team in the heats that they compete in. The athlete’s heat totals combine to make the athlete’s total combined score for your team. The further the athlete goes in competition (thus the more heats scored) the higher the score.

 

Team

Your team score is the combined total of all of your athlete’s total scores for an Event/Season.

Automatic Advancement

Should an athlete in a Man vs. Man heat be advanced automatically due to another competitor not showing up, therefore not getting a heat score, FASL will average the advancing athlete’s heat scores to come up with a “heat average” for the advancing athlete. FASL will add the heat average for the “automatic advancement” heat to his other heat scores to create a total score for the advancing athlete.

 

STATISTICS CORRECTIONS

 

Following the completion of each Contest, all statistics and point totals are verified, and corrections are made where necessary. However, all statistics and point totals for the Contest are considered FINAL as of the start of the next Contest.

Please note: at the completion of the last Contest of the Fantasy Season (as defined below), all statistics are considered Final.

TEAM CHANGES

 

Season Game

 

Each Contest, users have the opportunity to select their Teams. If a user doesn’t set a Team before the Contest Starts (explained in the “Deadline to Change Status” section below), the user’s Team from the previous Contest will be used.

 

 

Deadline to Change Status

 

Each Game has a Countdown Timer. Once this timer reaches 00:00, trading locks and Players may not Edit Teams until the Event is over. If an Event goes on hold or has a layday, then the Timer may be re-set to the new Event start time.

 

 

ADDING AND DROPPING ATHLETES

 

Drafting / Trading

You may draft and or trade athletes in and out of your team based upon your Salary Cap.

Market Value / Cap Value

You draft and trade for athletes based on their current values (“Market Value”). This is the amount (“Cap Value”) that will be deducted from your Salary Cap. When you draft an athlete, the “Market Value” and “Cap Value” are the same. Once on your team, the “Cap Value” never changes. The “Market Value” adjusts depending on the success/failure of the athlete. When you trade an athlete off of your team, you may buy them back at the current “Market Value”.

Save Team

Once you have picked your team, you must click “Save Team” to save your team.

Undo Changes

If you have made changes to your team and you are not happy with the selections, you may click “Undo Changes” to revert to your last “Saved” Team.

 

SPORTSMANSHIP

 

General Sportsmanship

By participating, you agree to abide by the general sportsmanship rules set forth in these rules and fantasy games in general. You further agree to accept and abide by the rulings and the decisions of FASL regarding all questions of sportsmanship. If a user does not comply with the sportsmanship rules as defined in these official rules, or FASL determines (in FASL’s sole discretion) that an user has acted in an unsportsmanlike manner, FASL reserves the right to disqualify the user and/or remove that user from FASL. All decisions by FASL in sportsmanship and related matters will be final.

 

COLLUSION

 

FASL does not permit two or more users in the same Game to work together in an attempt to secure prizes.

INAPPROPRIATE LEAGUE COMMUNICATION

The Fantasy Action Sports League Message Boards are available for you to communicate with other FASL users. We ask that you refrain from posting or sending messages that could be construed as offensive to other users. Inappropriate communication can also include spamming other users and posting multiple messages on the message board. If a user is unable to abide by the guidelines specified in the FASL Terms and Conditions, FASL reserves the right to terminate that team user’s ability to communicate within the league and/or disqualify that person from participating in Fantasy Action Sports League.

 

PRIZES

 

Please see the “Prizes” page for each League for a specific Prize Breakdown per Event / Season.

All Cash Prize Payouts paid for with Paypal. Any Player who is awarded $600 or more in one (1) calendar year are required to fill out a W-9.

 

For Product Prizes – Some Products may be substituted for Prizes of similar value. Please allow 4-6 weeks delivery after each event. FASL only ships within the Continental U.S., International prize shipments are the financial responsibility of the Winner.

 

Odds

Odds of winning prizes depend on the total number of eligible entries received and the relative knowledge of all entrants.

Ties

In the event of a tie, cash prizes will be added together and divided evenly among those who have tied.

 

PRIZE NOTIFICATION

 

Prize Winners will be notified via email within 10 days of the end of the Event and/or Season. Prize Winners may be required to sign and return, within thirty (30) days of issuance, the Affidavit of Eligibility and Publicity (unless prohibited by law)/Liability Release. Failure to return such documents within the specified time period, noncompliance with these Official Rules, the return of any prize(s) (a “Prize”) or a Prize notification(s) or if any Potential Prize Winner declines a Prize for any reason, Prize may be awarded to another eligible entrant with the next highest score in accordance with these Official Rules (as applicable).

Change of Email Address.

It is the sole responsibility of the entrant to notify FASL if his or her e-mail address changes.

 

PUBLICITY RELEASE TERMS.

 

Except where prohibited by law, a Prize Winner’s acceptance of a Prize constitutes permission for the Contest Entities to use Prize Winner’s name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation. Entrants agree to FASL’s use of their names and likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.

All federal, state, local, and provincial laws and other tax liabilities arising from this Contest, including, without limitation, winning a Prize, will be the sole responsibility of the Prize Winner.

 

LEGAL DISCLAIMERS

 

All participants agree to abide by the terms of these Official Rules and the Legal Disclaimers below, and by the decisions of FASL, which are final and binding on all matters pertaining to the game.

 

GENERAL CONDITIONS

 

By entering the Contest, each participant accepts and agrees to be bound by these rules and by the decisions of FASL, which shall be final and binding in all respects. Further, each participant also acknowledges and agrees to FASL Terms and Conditions. Taxes, if any, are the sole responsibility of the Prize Winners. No substitution or transfer of the Prizes permitted except by FASL. FASL reserves the right to substitute the Prizes for one of equal or greater value in the event that the advertised Prizes are unavailable.

Except where prohibited by law, the Prize Winner’s acceptance of a Prize constitutes permission for the Contest Entities to use Prize Winner’s name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation. Participants agree to Contest Entities. use of their names and likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.

All federal, state, local, and provincial laws and regulations apply.

FASL is not responsible for lost, late or misdirected on-line entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions.

FASL reserves the right to halt or modify the Contest at any time during the Contest period if events beyond their control compromise the Contest’s fairness or integrity. In the event that a scheduled contest is canceled for any reason, no points may be awarded for that contest. In such event, FASL further reserves the right, at its sole discretion, to cancel the Contest and issue refunds for all Player Registrations or to award prizes to the users with the most points as of the termination date (tie breakers rules will apply) in each Game in the Contest as of termination date.

FASL is not responsible for typographical or other human or technical errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of the Prize Winners or the distribution of the Prizes.

FASL, in its sole discretion, may disqualify any participant in the Contest, refuse to award points or the Prizes, and require the return of the Prizes, if participant engages in any conduct FASL deems to be improper, unfair or otherwise adverse to the operation of the Contest or detrimental to other participant. Such improper conduct includes, but is not limited to, falsifying personal information required during Contest registration or prize claim, violating any term or condition stated herein, accumulating points or prize through methods such as automated computer scripts or other programming techniques, allowing others to use the participant’s personal information for the purpose of accumulating points or prize, tampering with FASL’s administration of this promotion, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this Web site. Participant further acknowledges that the forfeiture of the Prizes and/or return of the Prizes shall in no way prevent FASL from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

FASL reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Contest. This Contest is not affiliated with or endorsed by any Actions Sports Associations. This is a Contest designed for the participant’s enjoyment and entertainment.

This Contest may not be used for any form of gambling.

 

RULES/WINNERS INFORMATION

INTERNET

If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of FASL which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, FASL reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. In such event, FASL further reserves the right, at its sole discretion, to cancel the Contest and issue refunds for all Player Registrations or to award prizes to the users with the most points as of the termination date (tie breakers rules will apply) in each Game in the Contest as of termination date.

FASL assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. FASL is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant’s or any other person’s computer related to or resulting from participation or downloading any materials in this Contest.

LOST OR CORRUPTED ENTRIES

The Contest Entities, and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage due entries or mail if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Contest Entities, and advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Contest, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Contest.

DAMAGED PROPERTY

Contest Entities, and their advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person’s computer or property related to or resulting from participating in this Contest or downloading materials from this Contest.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, FASL RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity based on e-mail address submitted, entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any entry that is incomplete, late, or does not include a validly issued User ID will be disqualified.

In the event that the Contest is challenged by any legal or regulatory authority, FASL reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, FASL shall have no liability to any participants who are disqualified due to such an action.

CONTEST ERRORS

The Contest Entities, and their advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Contest; (b) in any related advertising or promotions of this Contest; and/or (c) in these Official Rules including but not limited to errors in advertising, the Official Rules, the selection and announcement of a winner or the distribution of the Prize. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Contest.

PRIZE WINNER(S) AND PRIZE(S)

The Contest Entities, and their advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of the Prize Winners, the distribution of the Prizes, the acceptance/possession and/or use/misuse of any part of the Prizes and/or any injury or damage to any entrant’s or third person’s property related to or resulting from any part of the Prizes or any part of this Contest.

RELEASE AND INDEMNITY

Each entrant in the Contest, including, without limitation, the Prize Winners, hereby release and agree to hold harmless the Contest Entities and their advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the Prizes, participation in this Contest and participation in any activity related to this Contest.

 

LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES

 

IN NO EVENT WILL THE CONTEST ENTITIES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE CONTEST, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE AND/OR THE CONTEST. IN NO EVENT SHALL FASL’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE CONTEST AND THE SERVICE INCLUDING THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. BINDING ARBITRATION

The parties, including all participants, waive all rights to trial in any action or proceeding instituted in connection with these Official Rules or the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, County of Orange.

GOVERNING LAW AND JURISDICTION

THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the California state and federal courts. The parties agree not to raise the defense of forum non conveniens.

General Sportsmanship

By participating, you agree to abide by the general sportsmanship rules set forth in these rules and fantasy games in general. You further agree to accept and abide by the rulings and the decisions of FASL regarding all questions of sportsmanship. If a user does not comply with the sportsmanship rules as defined in these official rules, or FASL determines (in FASL’s sole discretion) that an user has acted in an unsportsmanlike manner, FASL reserves the right to disqualify the user and/or remove that user from FASL. All decisions by FASL in sportsmanship and related matters will be final.

 

COLLUSION

 

FASL does not permit two or more users in the same Game to work together in an attempt to secure prizes.

INAPPROPRIATE LEAGUE COMMUNICATION

The Fantasy Action Sports League Message Boards are available for you to communicate with other FASL users. We ask that you refrain from posting or sending messages that could be construed as offensive to other users. Inappropriate communication can also include spamming other users and posting multiple messages on the message board. If a user is unable to abide by the guidelines specified in the FASL Terms and Conditions, FASL reserves the right to terminate that team user’s ability to communicate within the league and/or disqualify that person from participating in Fantasy Action Sports League.

 

PRIZES

 

Please see the “Prizes” page for each League for a specific Prize Breakdown per Event / Season.

All Cash Prize Payouts paid for with Paypal. Any Player who is awarded $600 or more in one (1) calendar year are required to fill out a W-9.

 

For Product Prizes – Some Products may be substituted for Prizes of similar value. Please allow 4-6 weeks delivery after each event. FASL only ships within the Continental U.S., International prize shipments are the financial responsibility of the Winner.

 

Odds

Odds of winning prizes depend on the total number of eligible entries received and the relative knowledge of all entrants.

Ties

In the event of a tie, cash prizes will be added together and divided evenly among those who have tied.

 

PRIZE NOTIFICATION

 

Prize Winners will be notified via email within 10 days of the end of the Event and/or Season. Prize Winners may be required to sign and return, within thirty (30) days of issuance, the Affidavit of Eligibility and Publicity (unless prohibited by law)/Liability Release. Failure to return such documents within the specified time period, noncompliance with these Official Rules, the return of any prize(s) (a “Prize”) or a Prize notification(s) or if any Potential Prize Winner declines a Prize for any reason, Prize may be awarded to another eligible entrant with the next highest score in accordance with these Official Rules (as applicable).

Change of Email Address.

It is the sole responsibility of the entrant to notify FASL if his or her e-mail address changes.

 

PUBLICITY RELEASE TERMS.

 

Except where prohibited by law, a Prize Winner’s acceptance of a Prize constitutes permission for the Contest Entities to use Prize Winner’s name, photograph, likeness, statements, biographical information, voice, and address (city and state) worldwide and in all forms of media, in perpetuity, without further compensation. Entrants agree to FASL’s use of their names and likeness for advertising and publicity purposes, without additional compensation, unless prohibited by law.

All federal, state, local, and provincial laws and other tax liabilities arising from this Contest, including, without limitation, winning a Prize, will be the sole responsibility of the Prize Winner.

 

LEGAL DISCLAIMERS

 

All participants agree to abide by the terms of these Official Rules and the Legal Disclaimers below, and by the decisions of FASL, which are final and binding on all matters pertaining to the game.

 

GENERAL CONDITIONS

 

By entering the Contest, each participant accepts and agrees to be bound by these rules and by the decisions of FASL, which shall be final and binding in all respects. Further, each participant also acknowledges and agrees to FASL Terms and Conditions. Taxes, if any, are the sole responsibility of the Prize Winners. No substitution or transfer of the Prizes permitted except by FASL. FASL reserves the right to substitute the Prizes for one of equal or greater value in the event that the advertised Prizes are unavailable.

FASL is not responsible for lost, late or misdirected on-line entries or transactions, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions.

FASL reserves the right to halt or modify the Contest at any time during the Contest period if events beyond their control compromise the Contest’s fairness or integrity. In the event that a scheduled contest is canceled for any reason, no points will be awarded for that contest. In such event, FASL further reserves the right, at its sole discretion, to cancel the Contest and issue refunds for all Player Registrations or to award prizes to the users with the most points as of the termination date (tie breakers rules will apply) in each Game in the Contest as of termination date.

FASL is not responsible for typographical or other human or technical errors in the offer or administration of this Contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of the Prize Winners or the distribution of the Prizes.

FASL, in its sole discretion, may disqualify any participant in the Contest, refuse to award points or the Prizes, and require the return of the Prizes, if participant engages in any conduct FASL deems to be improper, unfair or otherwise adverse to the operation of the Contest or detrimental to other participant. Such improper conduct includes, but is not limited to, falsifying personal information required during Contest registration or prize claim, violating any term or condition stated herein, accumulating points or prize through methods such as automated computer scripts or other programming techniques, allowing others to use the participant’s personal information for the purpose of accumulating points or prize, tampering with FASL’s administration of this promotion, or intentionally trying to defraud, reverse engineer, disassemble, decompile or otherwise tamper with the computer programs on this Web site. Participant further acknowledges that the forfeiture of the Prizes and/or return of the Prizes shall in no way prevent FASL from pursuing other avenues of recourse such as criminal or civil proceedings in connection with such conduct.

FASL reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the Contest. This Contest is not affiliated with or endorsed by any Actions Sports Associations. This is a Contest designed for the participant’s enjoyment and entertainment.

This Contest may not be used for any form of gambling.

INTERNET

If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of FASL which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, FASL reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest. In such event, FASL further reserves the right, at its sole discretion, to cancel the Contest and issue refunds for all Player Registrations or to award prizes to the users with the most points as of the termination date (tie breakers rules will apply) in each Game in the Contest as of termination date.

FASL assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. FASL is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant’s or any other person’s computer related to or resulting from participation or downloading any materials in this Contest.

LOST OR CORRUPTED ENTRIES

The Contest Entities, and advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, lost, late, incomplete, corrupted, stolen, misdirected, illegible or postage due entries or mail if applicable; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, unauthorized human intervention, or the incorrect or inaccurate capture of entry or other information, or the failure to capture any such information. The Contest Entities, and advertising and promotion agencies, are not responsible for any incorrect or inaccurate information, whether caused by registration information submitted by end users or tampering, hacking, or by any of the equipment or programming associated with or utilized in this Contest, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Contest.

DAMAGED PROPERTY

Contest Entities, and their advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, injury or damage to any entrants or to any other person’s computer or property related to or resulting from participating in this Contest or downloading materials from this Contest.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, FASL RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT PERMITTED BY LAW.

In the event of a dispute as to the identity based on e-mail address submitted, entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Any entry that is incomplete, late, or does not include a validly issued User ID will be disqualified.

In the event that the Contest is challenged by any legal or regulatory authority, FASL reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, FASL shall have no liability to any participants who are disqualified due to such an action.

CONTEST ERRORS

The Contest Entities, and their advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, errors and/or ambiguity: (a) in the Contest; (b) in any related advertising or promotions of this Contest; and/or (c) in these Official Rules including but not limited to errors in advertising, the Official Rules, the selection and announcement of a winner or the distribution of the Prize. In the event of any ambiguity(s) or error(s) in these Official Rules, Administrators reserve the right to modify these Official Rules for clarification purposes or to correct any such ambiguity or error(s) without materially affecting the terms and conditions of the Contest.

PRIZE WINNER(S) AND PRIZE(S)

The Contest Entities, and their advertising and promotion agencies, assume no liability and are not responsible for, and you hereby forever waive any rights to any claim in connection with, the selection and announcement of the Prize Winners, the distribution of the Prizes, the acceptance/possession and/or use/misuse of any part of the Prizes and/or any injury or damage to any entrant’s or third person’s property related to or resulting from any part of the Prizes or any part of this Contest.

RELEASE AND INDEMNITY

Each entrant in the Contest, including, without limitation, the Prize Winners, hereby release and agree to hold harmless the Contest Entities and their advertising and promotion agencies and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the Prizes, participation in this Contest and participation in any activity related to this Contest.

 

LIMITATION OF LIABILITY AND DISCLAIMER OF WARRANTIES

IN NO EVENT WILL THE CONTEST ENTITIES AND/OR THEIR PARENTS, AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR PROMOTION AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND USE OF THE SERVICE AND/OR THE CONTEST, DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM THE SERVICE AND/OR THE CONTEST. IN NO EVENT SHALL FASL’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE CONTEST AND THE SERVICE INCLUDING THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

BINDING ARBITRATION

The parties, including all participants, waive all rights to trial in any action or proceeding instituted in connection with these Official Rules or the Contest. Any controversy or claim arising out of or relating to these Official Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of California, County of Orange.

GOVERNING LAW AND JURISDICTION

THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the California state and federal courts. The parties agree not to raise the defense of forum non conveniens.
